SGM vote

This month’s Trustee Board update is all about the upcoming SGM vote!

We, your board members, have been so inspired by your engagement with this decision. Over and above all the other Playcentre mahi, you have taken the time to read through documents, talk with others at your centre or rōpū, and attend hui to ensure you make an informed decision. We sincerely thank you for putting on your ‘governance hat’ and thinking about the future of Playcentre Aotearoa.  Here is the information you need to know about the vote:

Voting opens on 12 September and electronic voting closes on 21 September.

Rōpū and Playcentres will each cast their vote based on the outcome of their Rōpū/Playcentre hui.

Decision making process

It is time for all Rōpū and Playcentres to hold their individual hui or centre business meetings to decide whether to vote YES or NO to the adoption of the Trust Deed.

Regional Rōpū discussion and decision hui details are being shared within each relevant region. For reference (or if you haven’t received the details), they can also be found here.

We know most of the time Playcentres use consensus to make decisions. In times where we find ourselves unable to move forward – if we have heard and considered all the viewpoints – it is ok to use a majority vote. For more information, please refer to our Decision Making Information Sheet.

Remember, if your centre or Rōpū does not cast a vote for the SGM, this is counted as a “No” vote.

We need 80% of centres and 80% of Rōpū to vote in favour of accepting the Trust Deed for the vote to pass.

How to vote

Voting papers will be emailed to those nominated to cast the vote for Rōpū and to Playcentres on the 12 September. Physical copies will also be mailed out, so make sure you check your mailboxes!

Playcentres, and Rōpū Members selected to cast votes, will receive:

  1. An email sent to their email address
  2. A physical copy of voting papers to their postal address (which includes a unique voting code linked to their email address).

Those nominated to cast the vote can do so from the 12 September, after the Centre meeting or Regional Rōpū hui where the final decision for the Regional Rōpū/Centre is made. The date of this meeting will be required to cast the vote.

Regional Rōpū or Centres unable to cast their vote electronically may cast their vote via phone. The phone number and unique 16-digit code will be provided in the voting pack.

Minutes outlining the Regional Rōpū/Centres decisions will be required to be distributed to your Rōpū/Centre members and sent to [email protected] and must include:

  1. The voting decision, a list of those present at the meeting and how this decision was arrived at (consensus, majority vote, email vote etc)
  2. The person nominated to cast the vote.

A reminder that each Rōpū/Centre can only vote once.

SGM 2022

At the SGM, if the vote is successful, the resolution to adopt the Trust Deed will be confirmed.

The SGM meeting will be held at 9.30am on 24 September 2022 via Zoom. This SGM is an open meeting and all Playcentre members and staff are welcome to attend.

Virtual Roadshow

Our Chief Executive and Trustee Board members have been travelling around Aotearoa visiting Playcentres to answer any questions you may have about the SGM vote.

If you would like to request a meeting with our Chief Executive and Trustee Board members, please book us in for a time and date that works for your rōpū, centre or cluster.

Meetings may be face-to-face or via Zoom depending on location and availability to travel.

Playcentre Aotearoa’s AGM

While the focus for the organisation currently is the vote and upcoming SGM, the Trustee Board have also started planning for the Annual General Meeting (AGM). This is scheduled for Friday 25th – Sunday 27th November and will be held kanohi ki te kanohi (face-to-face) in Auckland, regardless of the outcome of the SGM.

Further details will be coming out, but if you are a representative, please save the date. Or, if you are unable to attend this meeting, it would be a good idea to start the conversation to find a replacement rep in your rōpū/region now.

Moving forward

This time next month we will know the results of the SGM and have a clearer picture of our next steps. Again, thank you for reading, listening, having your say, and contributing to this important decision.
